Terms of Service

1. Introduction

These Terms of Service ("Terms") govern access to and use of the ProSign24 website, applications and services (together, the "Service"), operated by PIXELTECH SP. Z O. O., Nowogrodzka 50/515, 00-695 Warszawa, Poland ("ProSign24", "we", "us"). By creating an account, sending or signing a document through the Service, you agree to these Terms.

2. Nature of the Service

ProSign24 provides a technical platform that enables users to place fields on PDF documents, invite signers and generate electronic signatures with audit trails and completion records. Electronic signatures produced through the Service are supported by audit trails and completion records and are designed to help parties execute agreements under applicable electronic-signature laws, including eIDAS, ESIGN and UETA where applicable.

ProSign24 is not a law firm, notary or qualified trust service provider. The Service does not provide qualified electronic signatures (QES), notarial services, witness services or legal advice, and nothing in the Service constitutes legal advice.

3. Legal effect of signatures

The legal effect and admissibility of a document signed through the Service depend on many factors, including the type of document, the parties' identity and authority, their intent and consent to sign electronically, the applicable jurisdiction, and requirements such as witnesses, notarization, registration or filing.

You are solely responsible for determining whether the electronic form is appropriate for a given document and jurisdiction, and for ensuring that each envelope is executed in a manner that is valid under applicable law. ProSign24 makes no representation that any particular signature or document executed through the Service will be valid, enforceable or admissible in any specific case.

4. Prohibited uses

The Service must not be used where applicable law requires a qualified electronic signature, a handwritten signature, notarization, witnessing, registration, filing through an authorized system, or another prescribed execution method.

Non-exhaustive examples of documents that may fall outside the Service include:

  • Wills, codicils and other testamentary documents.
  • Certain family-law documents (marriage, divorce, adoption instruments).
  • Transfers of real estate and other documents requiring registered form.
  • Powers of attorney requiring notarized or witnessed execution.
  • Court filings and documents submitted through official electronic systems.
  • Consumer notices, financial disclosures, healthcare directives or other documents subject to specific formal or delivery requirements.

The specific documents that fall outside the Service vary by jurisdiction. If you are unsure whether a document may be signed electronically through ProSign24, consult qualified legal counsel before using the Service.

You also agree not to use the Service to:

  • Violate any law or the rights of any third party.
  • Upload malware, phishing content or material that is fraudulent, defamatory, obscene or otherwise unlawful.
  • Impersonate any person or misrepresent your affiliation with any person or entity.
  • Interfere with, probe or disrupt the Service or its underlying infrastructure.

5. Accounts

You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. Notify us promptly at info@pixeltech.pl if you suspect unauthorized access.

6. Subscriptions and billing

Paid features of the Service are provided on a subscription basis. Pricing, renewal, cancellation and refund conditions are described in our Subscription Terms, which form part of these Terms. Payments are processed by our payment provider, Stripe.

7. Your content and licence

You retain all rights in the documents and data you upload to the Service ("Your Content"). You grant ProSign24 a limited, worldwide, non-exclusive licence to host, process, transmit and display Your Content solely to provide the Service, to generate completed PDFs and certificates of completion, and to comply with legal obligations.

You represent that you have the right to upload Your Content and to invite the signers you designate, and that Your Content and its use through the Service do not violate any law or third-party right.

8. Availability and changes

We strive to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue features of the Service from time to time. Material changes affecting paid subscriptions will be communicated in advance where reasonably possible.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and the legal validity, enforceability or admissibility of any specific document or signature executed through the Service.

10. Limitation of liability

To the maximum extent permitted by law, ProSign24 and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues, data, goodwill or business opportunities. Our aggregate liability for any claim arising out of or relating to the Service is limited to the amounts you paid to ProSign24 for the Service during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnity

You agree to indemnify and hold harmless ProSign24 and its affiliates from and against any third-party claims arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right, except to the extent prohibited by applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. Provisions that by their nature should survive termination will continue to apply.

13. Governing law and disputes

These Terms are governed by the laws of Poland, without regard to conflict of laws principles. Mandatory consumer protections available to you under the laws of your country of residence remain unaffected. Disputes will be submitted to the competent courts of Warsaw, Poland, unless mandatory law provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
